MorganFranklin Corp. Establishes Advisory Board of Directors

Herndon , VA — July 21, 2005
MorganFranklin Corp. announced today the formation of an Advisory Board of Directors to offer guidance and counsel to the company's shareholders, directors and management, on the challenges and opportunities faced by the rapidly growing organization. In addition, the Advisors will provide expertise on major business transactions, help identify new or expanded business prospects, and review various decisions and agreements with customers, vendors and other third parties. The members of the new Advisory Board are:

Ted Segal of DLA Piper Rudnick Gray Cary . Mr. Segal practices in the area of corporate and securities law with special emphasis on public and private negotiated mergers and acquisitions, commercial transactions, venture capital investments, and other private placements of securities. In addition, he has worked extensively in the health-care area on a wide variety of transactions, including acquisitions, mergers, and reorganizations of significant health-care assets. Mr. Segal is Managing Partner of the firm's Washington , D.C. office, is co-chair of the firm's Health Care practice group, and is a member of the firm's Policy Committee.

Warren Martin is Managing Director of Claris Capital LLC, a middle market investment bank located in Tysons Corner , VA. Mr. Martin co-founded Claris Capital in 2002. While at Claris, he has completed numerous financial advisory engagements within the software, communications, information technology and professional services industries . Prior to forming Claris Capital, Mr. Martin was a Senior Partner with PricewaterhouseCoopers LLP (PwC). Mr. Martin's PwC career included audit and financial advisory experience for clients in the following industries: software, communications, professional services and health care.

Larry Handen, Managing Partner - Vantage Point Venture Partners. Mr. Handen brings more than 15 years of experience as a principal investor and advisor within the technology, communications, media and services industries. Prior to joining VantagePoint, Mr. Handen was a General Partner at UBS Capital where he led the firm's Technology & Services Group. Prior to joining UBS Capital, he was a Partner with PricewaterhouseCoopers Consulting (PwC). While at PwC, Mr. Handen led a practice specializing in corporate-wide growth and recovery solutions for companies in the technology, information, communications and entertainment industries.
